B2B service terms

Standard terms for the $99 Catalog QA & Shopify Import Pack founder pilot. No consumer orders are accepted.

1. Parties and eligibility

These terms govern the Catalog QA & Shopify Import Pack supplied under the Forqena brand by Emil Sundell AB, organisation number 559208-2951, Hövägen 55, 446 32 Älvängen, Sweden (“Forqena”, “we”).

You confirm that you order wholly for a business or professional purpose, have authority to bind the named business, and provide accurate company, billing and tax information. We do not accept consumer orders under these terms.

2. Preflight and contract formation

The free 10-row preflight is a scope and readability check, not a deliverable or promise that we will accept an order. We issue a written scope confirmation only if the source meets the fixed-price requirements.

A contract forms when we receive payment for that confirmed scope and send an order confirmation. The order confirmation, these versioned terms and the written scope form the agreement. The written scope prevails if there is a direct conflict.

3. Founder pilot scope

  • One authorised CSV, PDF or XLSX and up to 100 SKU or variant rows.
  • Up to three variant options.
  • A Shopify-compatible draft/import file for complete product groups.
  • A mapping/source-reference document and exception report.
  • Checks of SKU, parent/variant relationship, option values, price and pack unit.
  • One correction round for verifiable errors reported within five business days after delivery.
  • Target delivery within three business days after payment and receipt of the approved source package.

The pilot does not include store login, import, publishing, copywriting, image licensing, inventory sync, ERP/PIM design, legal or regulatory verification, or correction of unsupported source data.

4. Source requirements and customer responsibility

You warrant that you or your client have all rights and authority required to provide the material, instruct our processing and use the output for the stated purpose. You remain responsible for source accuracy, product claims, regulatory information, intellectual-property permissions and the final content published to a store.

Fixed-price acceptance requires identifiable SKUs, current price and currency, a pack-unit value or explicit decision to omit it, and an approved parent/variant rule. We leave unsupported values blank and flag them. Incomplete product groups may be excluded from the import file.

Do not send credentials, Shopify access, customer data, personal data or source files by email. No file may be transferred until we provide the approved secure route and confirm scope.

5. Delivery, review and corrections

Delivery dates start only when payment, the accepted source package and required decisions are complete. A delivery date is extended for delays caused by missing, changed or contradictory customer input.

You must review the output in a backup or staging workflow before any production import or publication. Report a claimed verifiable error with enough detail to reproduce it within five business days. The included correction round covers deviations from the confirmed source and scope, not changed source data, new mapping decisions or expanded requirements.

6. Fees, taxes and refunds

The founder pilot fee is USD 99 for the confirmed scope. Prices exclude taxes unless checkout states otherwise. You are responsible for accurate business and tax information.

If we determine after payment that we cannot produce the confirmed deliverable for reasons within our control, we will refund the affected order. Except where mandatory law requires otherwise, a completed in-scope service is not refundable merely because the source contains blockers or the customer chooses not to use the output.

7. Confidentiality, security and data handling

Each party will use non-public information received for the order only as needed to perform or receive the service and will protect it with reasonable care. This does not cover information already lawfully known, public without breach, independently developed or lawfully received from another source.

Version 1 does not accept personal data in source files. File handling, deletion and AI-assistance rules are described in the privacy notice. A customer NDA, DPA, security questionnaire or special security term requires separate written review before any file transfer.

8. Intellectual property

You retain rights in customer materials. After full payment, you may use the delivered output for the confirmed business purpose and may provide the white-label output to the client identified in scope. We retain our pre-existing tools, validation logic, templates and general know-how, excluding customer confidential information.

You may not use the service to infringe rights, bypass access controls, process unlawfully obtained material, or misrepresent generated or unverified product claims.

9. Service limits and liability

The output is a draft for professional review. We do not warrant that third-party platforms will remain unchanged, that source data is accurate, or that an import will be error-free in every environment. We do not guarantee sales, ranking, compliance or commercial results.

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data. Our aggregate liability arising from an order is limited to the fees paid for that order. These limits do not apply to liability that cannot lawfully be limited or to wilful misconduct.

10. Suspension and termination

We may pause or decline work where source rights, security, legality, payment, customer identity or scope are not adequately verified. Either party may terminate for a material breach not cured within a reasonable written cure period. Accrued payment, confidentiality, intellectual-property, liability and dispute provisions survive termination as applicable.

11. Law, disputes and contact

The agreement is governed by Swedish law, without applying conflict-of-law rules. The parties will first try in good faith to resolve a dispute through written business discussions. Unresolved disputes are subject to the competent courts of Sweden.
